SUBJECT: Concluding a significant agreement with ArcelorMittal Flat Carbon Europe S.A. Branch in Poland

 

CONTENT OF THE REPORT:

The Management of Izostal S.A. informs that on July 29th, 2014 Izostal S.A. concluded subsequent transactions with ArcelorMittal Flat Carbon Europe S.A. Branch in Poland with its registered office in Dabrowa Gornicza. As a result of the transaction, total value of contracts concluded by Izostal S.A. with ArcelorMittal capital group since October 14th, 2013 (current report no 27/2013) has exceeded 10% of the Company’s equity and amounted to PLN 19,158 thousand (net).

 

Within the stated period, the agreement of the highest value was the transaction of purchase by Izostal S.A. (Buyer) of hot-roller strips in circles from ArcelorMittal Flat Carbon Europe S.A. Branch in Poland (Seller) concluded on May 29th, 2014 of the total value of PLN 8,369 thousand (net).

 

The subject of the agreement was delivered by the Seller until June 30th, 2014.

 

The concluded agreement did not provide for any contractual penalties, its terms did not vary from the commonly applied for this kind of agreements.

 

Transactions concluded within  with ArcelorMittal Flat Carbon Europe S.A. Branch in Poland and its affiliates are deemed as significant agreements, as their total value exceeds 10% of the Company’s equity.

 

Specific legal basis: §5 clause 1 item 3 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
