Concluding a significant agreement with PROMA Sp. z o.o.

SUBJECT: Concluding a significant agreement with PROMA Sp. z o.o.

CONTENT OF THE REPORT:
The Management Board of Izostal S.A. informs that on October 23rd, 2013 the Company (Buyer) concluded a transaction of purchase of steel pipes from PROMA Sp. z o.o. Company based in Siemianowice Slaskie (Seller). As a result of the concluded transaction the total value of all contracts signed by the Company with PROMA Sp. z o.o. has exceeded 10% of the Company’s equity capital within the last twelve months and amounted to 16.516 thousands PLN (net).

During this period, the contract of the highest value was the transaction of purchase of steel pipes by Izostal S.A. from PROMA Sp. z o.o. concluded on May 15th, 2013 of the total value of 967 thousands EUR (net) which, when converted at the average exchange rate of NBP on the day of signing of the contract, constitutes approximately 4.037 thousands PLN (net).

The subject of the contract was delivered by the Seller until June 28th, 2013.

The agreement did not provide for any contractual penalties, and the terms of the transaction were similar to the terms commonly used for this type of contracts.
Transactions with PROMA Sp. z o.o. Company signed in the period mentioned above meet the criterion of a significant agreement as their total value exceeds 10% of the equity capital of the Company.

Specific legal basis: §5 clause 1 item 3 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
