Concluding a Working Capital Facility Contract with mBank S.A.

Legal basis: Art. 56 Clause 1 Item 2 of the Offering Act - current and periodic information.
 
CONTENT OF THE REPORT:
The Management Board of Izostal S.A. (Company, Borrower) informs that on 27 April 2016 it obtained information about the Working Capital Credit Agreement (in EUR) being signed by the other party with mBank S.A. (Bank) with its registered office in Warsaw.
Under this agreement the Bank provided the company with the Working Capital Credit Agreement in the amount of EUR 6,144,110.28 (that is PLN 26,948,067.69 after conversion according to the average exchange rate of the National Bank of Poland as on the day of signing the agreement). The financial resources of the credit shall be allocated and used for the purchase of steel pipes.
 
The credit shall be used from 01.06.2016 until 31.08.2016.
 
The deadline for the repayment of the credit is 14.09.2016.
 
The credit collateral constitutes a blank promissory note issued by the Borrower with
a promissory note declaration.
Credit interest is EURIBOR1M plus Bank margin.
Other financial terms of the granted credit do not vary from the commonly applied in this type of contracts.
The Company deems the aforementioned contracts significant, as its total value exceeds 10% of Izostal S.A. equity.

Specific legal basis: §5 clause 1 item 1 and 3 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
