Concluding an agreement on attaching the contract bond between Izostal S.A. and TUiR Allianz Polska S.A.

CONTENT OF THE REPORT:
The Management Board of Izostal S.A. (Company) informs that on 15 February 2016 it obtained information about the Agreement on Attaching the Contract Bond (Agreement) being signed by the other party with TUiR Allianz Polska S.A. with its registered office in Warsaw.
The subject of this agreement is issue of a guarantee concerning repayment of the advance to the Gas Transmission Operator GAZ-SYSTEM S.A. with its registered office in Warsaw. The guarantee shall be attached as a security of an advance repayment/settlement in relation to execution of a partial agreement signed by the consortium of the following companies: Izostal S.A. (leader of the consortium) and Stalprofil S.A., and Gas Transmission Operator GAZ-SYSTEM S.A., regarding the sale and supply of coated steel pipes DN 1000 for constructing the Czeszow - Kielczow Gas Pipeline, about which the Company informed in the current report no. 2/2016 of 26 January 2016.
In line with the contractual provisions, TUiR Allianz Polska S.A. shall attach a guarantee to Gas Transmission Operator GAZ-SYSTEM S.A. in the amount of PLN 18,524 thousand expiring up to 30 September 2016.
The agreement is secured with a blank promissory note with a promissory note declaration guaranteed by Stalprofil S.A.
Other terms and conditions of the agreement do not differ from the standard terms and conditions used for such agreements.

The concluded agreement did not provide for any contractual penalties.
 
The agreement meets the criteria of a significant agreement due to the fact that its value exceeds 10% of the value of the Company’s equity capital.

Specific legal basis: §5 clause 1 item 3 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
