SUBJECT: Concluding of the significant agreement with MH Biuro Przedstawicielskie Zbigniew Kania

 

CONTENT OF THE REPORT:

The Management Board of Izostal S.A. (Company) informs that on June 18th, 2014 Izostal S.A. concluded a consecutive transaction of the purchase of pipes from MH Biuro Przedstawicielskie Zbigniew Kania with its registered office in Katowice. In result of the concluded transaction the total value of the agreements concluded by the Company with MH Biuro Przedstawicielskie Zbigniew Kania from August 13th, 2013 (current report no 23/2013) exceeded the value of 10% of the Company's equities and amounted to PLN 27,770 thousand (net).

 

In the mentioned period, the agreement of the biggest value referred to the purchase transaction of drill pipes by Izostal S.A. (Buyer) from MH Biuro Przedstawicielskie Zbigniew Kania (Seller) with its registered office in Katowice, concluded on June 18th, 2014 with the total value of EUR 2,455 thousand (net), which after conversion into PLN at the mean exchange rate of the National Bank of Poland on this date amounts to PLN 10,163 thousand (net).

 

The object of the agreement shall be delivered by the Seller by September 26th, 2014.

 

The contract concluded does not provide for any contractual damages and terms and conditions of the transaction are not different from the conditions used typically for such contracts. 

 

The transactions concluded with MH Biuro Przedstawicielskie Zbigniew Kania in the aforementioned period meet the criterion of a significant contract as their total value exceeds 10% of the Company's equity. 

 

Specific legal basis: §5 clause 1 item 3 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
