SUBJECT: Conclusion of an annex to the credit agreement with mBank S.A.
CONTENT OF THE REPORT:
The Management Board of Izostal S.A. (the Company) with reference to the current report no. 3/2014 of January 29th, 2014 informs that on January 26th, 2015 the Company concluded with mBank S.A. with its registered office in Warszawa an annex to the agreement no. 11/158/11/Z/VW of a multi-currency overdraft facility in the amount of PLN 10,000 thousand.
As a result of conclusion of the annex the period for use of the credit granted on February 2nd, 2015 is extended up to February 2nd, 2016.
The other significant terms and conditions of the granted credit remain unchanged.
With regard to conclusion of the annex the Company may use the overdraft during the following year up to the total amount of PLN 10,000 thousand. The overdraft may be used both in PLN and EUR. The basic security for the repayment of the credit remain unchanged and constitutes registered pledge on the warehousing supplies, materials for manufacturing and finished products in the form of coated steel pipes, in the amount of PLN 6,000 thousand (CR no. 45/2012 of August 31st, 2012).
The Company informed about the above-mentioned credit agreement (CR 55/2011 of December 2nd, 2011) due to the fact that the credit security is the registered pledge, the value of which is higher than the equivalent of the amount of EUR 1,000,000 expressed in PLN, and at the same time meets the criteria of significant value assets.
Specific legal basis: §5 clause 1 item 1 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
