Conclusion of the agreement for sales of shares in ZRUG Zabrze S.A to Stalprofil S.A.

CONTENT OF THE REPORT:
In connection to the current report no. 30/2016 dated 06.07.2016, the Management Board of Izostal S.A. (Company, Seller) hereby informs about the agreement of 07.07.2016 for sales of shares in ZRUG S.A. with its registered office in Zabrze at ul. Magazynowa 6 to Stalprofil S.A. (Buyer) with its registered office in Dabrowa Gornicza at Rozdzienskiego 11A.

The subject matter of the agreement is sale of 5,000,000 (five million) of Series D registered shares, numbered from 0000001 to 5000000, with nominal value of PLN 2.00 (two zlotys) each, of ZRUG Zabrze S.A. company to the company Stalprofil S.A., for the total amount of PLN 10,000,000.00 (ten million zlotys).

The sold block of shares constitutes 37.11% of share in the ZRUG Zabrze S.A. company capital and 31.06% of voting power in ZRUG Zabrze S.A.

The links between the Company and persons managing or overseeing it result from the fact that Stalprofil S.A. owns 60.28% of shares in Izostal S.A. One member of the Buyer’s Management Board is at the same time a member of Izostal S.A. Supervisory Board.

Value of the abovementioned shares, as stated in the financial situation statement of Izostal S.A., amounts to PLN 10,000,000.00 (ten million zlotys).
