Conclusion of the promised agreement for the sale of shares in PROMA Sp. z o.o.

CONTENT OF THE REPORT:
With reference to current reports No. 13/2025 and 14/2025 of 19 August 2025, current report No. 16/2025 of 14 November 2025 and current report No. 17/2025 of 1 December 2025. The Management Board of IZOSTAL S.A. (the ‘Company’) announces that on 2 December 2025, a share purchase agreement (the ‘Final Agreement’) was signed between Zbigniew Kania, Krzysztof Konopka and Marcin Konopka, partners in PROMA Sp. z o.o. with its registered office in Zawadzkie (‘PROMA’) (“Partners”) and the Company (‘Parties’).

The subject matter of the Final Agreement is the sale by the Partners to the Company of all shares in PROMA (the “Transaction”). The Parties have agreed that the price for the shares in PROMA, totalling PLN 23,300,000 (the ‘Price’), will be paid by the Company in the following instalments: 35% of the Price will be paid within 7 days of the date of conclusion of the Final Agreement, i.e. by 9 December 2025, and 65% of the Price will be paid in 9 instalments, payable by the 10th day of each calendar month, starting from the month following the month of conclusion of the Final Agreement. Pursuant to the provisions of the Final Agreement, the transfer of ownership of the shares in PROMA to the Company will take place on 2 January 2026.
