Increase in the total number of votes at the General Meeting of Izostal S.A. over 5% by Aegon Open Pension Fund.

Legal basis: Art. 70 item 1 of the Offering Act

CONTENT OF THE REPORT:
With reference to the current report no 19/2017 of 7th September 2017, the Board of Izostal S.A. (the Company) informs that on 23rd November 2017 it received a notification from Aegon Open Pension Fund (Aegon OFE) on exceeding  5% of the total number of votes in the company Izostal S.A. pursuant to the Art. 69, section 1, item 1 of the Act on Public Offering and on Conditions for the Introduction of Financial Instruments to the Organised Trading System and on Public Companies  of  29th July 2005, reading as follows:
 
Aegon Open Pension Fund, entered into the register of pension funds kept by the District Court in Warsaw VII Civil Registry Division, under number RFe 13, Business ID number  (REGON) 014889592 and Taxpayer ID number (NIP) 521-31-24-415 (hereinafter referred to as: “Aegon OFE”),
as the authority on behalf of which operates the Pension Society Aegon Powszechne Towarzystwo Emerytalne S.A. with its seat in Warsaw, address: ul. Wołoska 5, 02-675 Warsaw, entered into the register of entrepreneurs of the National Court Register kept by the District Court for the city of Warsaw, XIII Commercial Division of the National Court Register under number KRS 0000028767, Taxpayer ID number (NIP) 521-29-49-094, share capital fully paid up in the amount of PLN 110 356 000,00,
notifies that, in relation to the completion of the liquidation of the Open Pension Fund Nordea (hereinafter referred to as: “Nordea OFE”) on 17 November 2017, resulting in transferring on this day all assets of Nordea OFE to Aegon OFE and  entering by Aegon OFE into the rights and obligations of Nordea OFE, as for 17 November 2017 Aegon OFE holds 2 120 858 shares of Izostal S.A. (hereinafter referred to as: the Company), which constitutes 6,48% share in the share capital and entitles to 2 120 858 votes, that is 6,48% of the total number of votes.
 
Immediately before the day of completion of the liquidation of Nordea OFE:
1.    Aegon OFE held 1 381 130 shares of the Company, which constituted 4,22% share in its share capital and entitled to 1 381 130 votes, that is 4,22% of the total number of votes,
2.    Nordea OFE held 739 728 shares of the Company, which constituted 2,26% share in its share capital and entitled to 739 728 votes, that is 2,26% of the total number of votes.
