SUBJECT: Passing a resolution by the Annual General Meeting of Izostal S.A. on the payment of dividend for 2013.

CONTENT OF THE REPORT:
On May 14, 2014 the Annual General Meeting of Izostal S.A. passed a resolution on appropriation of net profit for 2013. The Annual General Meeting of Izostal S.A. accepted the Management Board’s proposal on appropriation of net profit for 2013 and appropriated PLN 3,929,280.00 for a dividend to Company shareholders, which makes a dividend of PLN 0.12 per share. All the shares issued by the Company, that is 32,744,000 shares will be eligible for dividend. The Annual General Meeting of Izostal S.A. resolved that the date of the dividend right should fall on August 12, 2014 and the dividend payment date should fall on September 1, 2014.

Specific legal basis: §38 clause 2 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259 as amended).
