Positive opinion of Izostal S.A. Supervisory Board regarding the Management Board’s resolution with the offer of dividend payment for 2013.

SUBJECT: Positive opinion of Izostal S.A. Supervisory Board regarding the Management Board’s resolution with the offer of dividend payment for 2013.

CONTENT OF THE REPORT:
The Management Board of Izostal S.A. informs that on a conference which was held on April 3, 2014  the Supervisory Board passed a resolution concerning giving an opinion of the Management Board’s proposal to Ordinary General Meeting. This proposal regarded profit sharing for 2013.

The Supervisory Board gave a positive opinion about this proposal concerning profit sharing for 2013 to Ordinary General Meeting, including the sum of PLN 3.929.280,00 of dividend for the Company’s shareholders, which gives dividend of PLN 0,12 for each share. The suggestion says that all shares issued by the Company in the amount of 32.744.000 are included in the dividend. The Supervisory Board did not raise any objection to the date of establishing cum coupon proposed by the Management Board will be on the August 12, 2014 and the payment date on September 1, 2014.

Specific legal basis: §38 clause 1 item 11 of the Ordinance of the Minister of Finance of February 19, 2009 on current and periodic information disclosed by the issuers of commercial papers and the conditions for recognizing as equivalent the information required by the laws of a non-member state (Journal of Laws No. 33, item 259, as amended).
