Sale by IZOSTAL S.A. of its stake in PROMA Sp. z o.o.

CONTENT OF THE REPORT:
The Management Board of IZOSTAL S.A. (the Company) hereby announces that on 14 January 2026, IZOSTAL S.A. and STALPROFIL S.A. entered into a SHARE SALE AGREEMENT (the Agreement) concerning the sale by IZOSTAL S.A. to STALPROFIL S.A. of 320 shares in PROMA Sp. z o.o. with its registered office in Zawadzkie (PROMA), representing 40% of the share capital of PROMA and 40% of the votes in that company, for a total price of PLN 9,320,000.00 (nine million three hundred and twenty thousand zlotys).

The unit price of the shares in PROMA (PLN 29,125.00 per share) specified in the Agreement is equal to the price at which these shares were acquired by IZOSTAL S.A. from the original shareholders of PROMA on 2 December 2025.

The transaction, thanks to the use of natural liquidity differences between the companies forming the STALPROFIL Capital Group, will allow for the optimisation of its overall debt capital requirements. 

After the above transaction, IZOSTAL S.A. will retain a majority 60% stake in PROMA, while 100% of the shares in PROMA will remain in the possession of companies belonging to the STALPROFIL S.A. Capital Group.
