The concluding by Izostal S.A. of an agreement for the purchase of a portfolio of Kolb Sp. z o.o. shares from Stalprofil S.A.

CONTENT OF THE REPORT:
In reference to current report no. 21/2017 dated December 12, 2017, the Management of Izostal S.A. (Company) hereby informs that, on January 2, 2018, it concluded an agreement for the purchase by Izostal S.A. from the parent company Stalprofil S.A. of a portfolio of shares in Kolb sp. z o.o.

Under the subject agreement, Izostal S.A. purchased from Stalprofil S.A. a portfolio of 100% shares in the basic capital of Kolb Sp. z o.o. in the amount of 1549 shares, at a price of PLN 9331 per share, i.e. at a total price of PLN 14 453 719.00 for all the shares. The transfer of title to the shares onto Izostal S.A. was effected on the date of signing the contracts.

The Parties have agreed that the payment of the contractual price shall be made by January 31, 2018, and that all the costs related with the concluding of the aforementioned Agreement shall be borne by Izostal S.A.

Other terms of the agreement do not vary from the ones commonly adopted for this kind of contracts.

The concluding of the subject transaction will enable the performance of business goals described in current report no. 21/2017 of December 12, 2017, which will have significant impact on the business operations of the Company in the future periods.
